Terms of Use

Effective date: October 22, 2026

Contact: support@relayops.co

These Terms of Use (“Terms”) are an agreement between you and Relay Operations LLC (“Relay Ops,” “Relay,” “we,” “us”). They cover the Relay Ops apps, the website relayops.co and related services (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy at www.relayops.co/privacy. If you do not agree, do not use the Service.

1. Who may use Relay

  • Relay is a business tool for restaurants, bars and similar venues, and the people they invite. It is not open to the public.
  • You must be at least 18 and able to form a binding contract.
  • If you set up a venue or use Relay for a business, you confirm that you may accept these Terms for that business (the “Customer”), and “you” includes it.
  • If a venue invited you, the venue controls its workspace and decides what you can see and do.

2. Accounts

Keep your account details accurate and your password private. Each account is for one person, so do not share it. You are responsible for activity under your account. Tell us right away at support@relayops.co if you think someone else has used it.

3. License to use Relay

We give you a limited, non-exclusive, non-transferable, revocable license to use the Relay apps on devices you own or control, and the website, to use the Service under these Terms. Some updates may be required to keep using the Service. We keep all rights we do not expressly grant.

4. Acceptable use

You agree not to:

  • break the law or anyone’s rights, including privacy, employment and wage laws;
  • access data or accounts you are not allowed to, or get around security or permissions;
  • interfere with or overload the Service, or scrape it;
  • upload malware, unlawful content, or anything you do not have the right to share;
  • use another person’s account or impersonate anyone.

5. Your data

  • “Customer Data” is what a venue and its users put into Relay. The Customer owns its Customer Data, and you own what you submit. Relay claims no ownership.
  • You give Relay a non-exclusive, royalty-free license to host, store, process, send and display Customer Data only as needed to provide, secure and support the Service, including through the service providers described in our Privacy Policy. We do not sell Customer Data or use it for ads.
  • The Customer is responsible for having the right to collect what it stores about its staff, and for giving any notices the law requires.
  • You are responsible for what you enter and for its accuracy.
  • The owner can ask support@relayops.co for a copy of the venue’s data.

6. What Relay is and is not

Relay is a record-keeping tool for businesses. It does not hold or move money, and it is not accounting, tax, payroll or legal advice. Results depend on what users enter, and AI-filled fields can be wrong, so check them before saving. The Customer is responsible for its decisions and for following the laws that apply to its business.

7. Third-party services

The Service uses services run by others, such as app stores, cloud hosting, push notifications and AI reading of uploads. Their own terms may apply, and we are not responsible for them. If you got a Relay app from Apple’s App Store, Apple’s standard license agreement for apps (EULA) also applies to that app.

QuickBooks Online

An owner may connect the venue’s QuickBooks Online company. Relay then reads the QuickBooks data it needs and sends the venue’s invoices to QuickBooks as bills (see our Privacy Policy). QuickBooks is provided by Intuit under Intuit’s own terms. Relay, not Intuit, licenses the Relay apps and provides their support. The owner is responsible for what is sent and for checking bills in QuickBooks, and can disconnect at any time. Disconnecting does not remove bills already sent. Relay makes no promise about QuickBooks itself.

8. Fees

Prices and plans are agreed separately with each venue and billed by invoice, paid outside the app. Pay each invoice by its due date, with any taxes. We may suspend access while an invoice is unpaid.

9. Our intellectual property

Relay and its licensors own the Service, including its software, design and brand, but not Customer Data. If you send us ideas or feedback, we may use them freely without owing you anything.

10. Suspension and termination

You can stop using Relay at any time, and can delete your account in the app (Profile, Delete Account) or by emailing support@relayops.co.

We may suspend or end access if these Terms are broken, if use puts Relay or others at risk, if an invoice goes unpaid, or if we stop offering the Service. Where reasonable, we will tell you first, and we will always tell the owner before ending access for an unpaid invoice.

When a venue’s access ends, we keep its records for 90 days so the owner can ask for a copy, then delete them. Terms that by their nature should last, including those on data, fees, intellectual property, disclaimers, liability, indemnity and governing law, continue after access ends.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE, ITS CALCULATIONS, AI-FILLED FIELDS, OR DATA SENT TO OR RECEIVED FROM THIRD-PARTY SERVICES SUCH AS QUICKBOOKS WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, RELAY AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID RELAY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE CLAIM, OR $100 IF YOU PAID NOTHING. Some places do not allow some of these limits, so they may not all apply to you.

13. Indemnity

You agree to defend, indemnify and hold Relay harmless from claims, damages, liabilities and costs (including reasonable attorneys’ fees) that arise from your content or Customer Data, your use of the Service, or your breaking these Terms or the law. For a Customer, this includes claims by its staff about how it collected or used their information.

14. Governing law and disputes

These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-laws rules. Any dispute will be decided in the state or federal courts located in Charleston County, South Carolina, and you agree to their jurisdiction. Before filing a claim, please email support@relayops.co so we can try to resolve it.

15. Changes to the Service or these Terms

We may change the Service or these Terms. The current Terms are always at www.relayops.co/terms with their effective date. We will tell you in the app or by email before a material change takes effect. Using the Service after that means you accept the new Terms.

16. General

These Terms and the Privacy Policy are the whole agreement between you and Relay about the Service, but a signed agreement with a Customer takes priority where it differs. If part of these Terms cannot be enforced, the rest still applies. Not enforcing a part is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a merger or sale of our business.
